These Terms & Conditions (“Terms”) govern your access to and use of FoodOrbis, including creating an account, publishing listings, purchasing packages and promotions, communicating with other users, viewing analytics, and posting reviews/ratings. By using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

Definitions

“User” or “you” means any visitor or registered user of the Platform. “Consumer” means an individual acting outside a trade, business, or profession. “Business User” means a user acting for a trade, business, or profession. “Listing” means a directory entry/profile and its associated content, including menus, photos, events, offers, pricing, and contact details. “Content” means anything submitted by users including listings, images, logos, messages, reviews, ratings, posts, and links. “Paid Services” or “Packages” means subscriptions, one-time upgrades, featured placements, promoted listings, and add-ons.

Accounts, eligibility and security

You must be 18 or older to create an account. You must provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out through your account. We may suspend or terminate accounts for suspected fraud, misuse, or violations of these Terms.

What FoodOrbis is (and isn’t)

FoodOrbis is a food-industry directory and community platform that helps users discover businesses and allows Business Users to create and promote listings and engage with others. FoodOrbis is not a party to any agreement between users and does not guarantee leads, sales, bookings, partnerships, or business outcomes.

Listings, offers, events and other content

You are solely responsible for your Listing and Content. You must ensure your Content is accurate, complete, and not misleading, lawful and compliant with relevant rules (including food safety, labeling and allergen disclosures, licensing, and advertising laws), and kept up to date, including opening hours, pricing, availability, and contact details. You must own or have permission to use any Content you upload, including photos, logos, menus, and trademarks. You must not upload or publish Content that is unlawful, misleading, defamatory, infringing, hateful, abusive, sexually explicit, violent, deceptive, or that includes malware or spam. We may, but are not obliged to, review, edit, restrict, or remove Listings or Content at any time, including for policy, quality, security, or legal reasons.

Reviews and ratings

FoodOrbis may allow Users to leave reviews and ratings. Reviews must reflect a genuine experience and be truthful. You must not post fake reviews, impersonate others, or coordinate review manipulation. Business Users must not offer incentives for reviews unless clearly disclosed and permitted by applicable law. We may remove reviews that violate these Terms or applicable law, or that we reasonably believe are fraudulent or abusive. We do not guarantee that reviews are accurate or verified.

User content license

You retain ownership of your Content. By submitting Content, you grant FoodOrbis a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and adapt that Content for operating, improving, and promoting the Platform, including featuring listings in search results, categories, emails or newsletters, and promotional placements.

Messaging and community features

If messaging or community features are available, you must communicate respectfully and lawfully. You must not spam, harass, threaten, or send unsolicited promotions in bulk. You understand that interactions with other users are at your own risk. We are not responsible for user conduct or any outcomes of user-to-user communications or transactions.

Analytics and insights

FoodOrbis may provide analytics such as views, clicks, engagement, or performance. These metrics are provided for informational purposes, may be approximate, and may not reflect all activity. We do not guarantee accuracy or availability of analytics.

Paid services, packages and promotions

Paid Services may include subscription packages (monthly or annual), one-time upgrades such as featured listings, promotions or sponsored placements for a defined period, and add-ons or tools. Details and pricing are shown at checkout and/or in your account. Unless explicitly stated at checkout, we do not offer free trials. Payments are processed by third-party payment providers such as PayPal. We do not store your full payment card details on our servers and your payment may be subject to the provider’s terms.

Subscriptions may auto-renew unless canceled before renewal. You can cancel through your account settings or the method shown at purchase. Canceling stops future renewals and access typically continues until the end of the billing period.

We may change Platform pricing, packages, and features at our discretion and at any time, including introducing new packages, removing packages, or changing the price of packages for new purchases. If you have an active paid subscription or have already purchased a paid package for a defined term, the price and features of that package will not be changed for the remainder of your current paid term. Any changes apply only at renewal or to new purchases, unless you choose to switch plans.

Refund policy (no refunds)

All purchases are final and non-refundable, including subscriptions, one-time upgrades, and promotions, except where a refund is required by applicable law. We do not provide refunds for partial use of a subscription term after cancellation, we do not refund promotions or placements that have already started or been delivered, and we do not refund based on performance outcomes such as views, leads, sales, or ranking position. Nothing in these Terms limits any mandatory Consumer rights that cannot be waived under applicable law.

Taxes

Prices may be shown inclusive or exclusive of taxes depending on your location and settings. Where VAT applies, it may be added at checkout. You are responsible for providing accurate billing information, including VAT details where applicable.

Platform availability and changes

We may update, modify, suspend, or discontinue any part of the Platform at any time. We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation.

Intellectual property

The Platform, including software, design, and branding, excluding user Content, is owned by FoodOrbis or its licensors and is protected by intellectual property laws. You may not copy, resell, reverse engineer, or exploit any part of the Platform without written permission.

Acceptable use and security

You must not scrape, crawl, or harvest data without permission. You must not interfere with security or performance, attempt unauthorized access, upload malware, run phishing or spam, or use automated tools to create accounts, publish listings, or message users in bulk without permission. We may restrict or block activity that threatens the Platform.

Third-party services and links

The Platform may link to or integrate with third-party services such as payments, maps, analytics, or embeds. We do not control third parties and are not responsible for their content, policies, or availability.

Disclaimers

The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy of Listings or user Content, that users will respond to messages, or that you will obtain any particular results from using Paid Services.

Limitation of liability

To the maximum extent permitted by law, FoodOrbis is not liable for indirect or consequential losses, including lost profits, lost data, business interruption, or reputational harm. To the extent our liability cannot be excluded, our total aggregate liability for claims relating to the Paid Services will not exceed the total fees you actually paid to us for the relevant Paid Service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability where exclusion is not permitted by law.

Indemnity (business users)

If you are a Business User, you agree to indemnify and hold FoodOrbis harmless from claims, losses, damages, and expenses arising from your Content, Listings, products or services, or breach of these Terms.

Suspension and termination

We may suspend or terminate your account or listings if you violate these Terms, create risk or harm to users or the Platform, are suspected of fraud or unlawful activity, or we are required to restrict access by law. You may stop using the Platform at any time. Termination does not create a right to refunds except where required by law.

Our Privacy & Cookie Policy explains how we collect and use personal data and how cookies and analytics work.

Changes to these terms

We may update these Terms from time to time. Updated Terms will be posted here with a new effective date. Continued use after changes means you accept the updated Terms.
